Defects in business-to-business transactions

The Sale of Goods Act regulates the sale of movable property. However, the Sale of Goods Act is secondary, meaning that its provisions may be deviated from by contract. For example, delivery terms, liability for defects, and payment terms can be agreed by contract. The Sale of Goods Act applies in situations where there is no agreement between the parties or where there are no binding commercial practices or other practices that the parties would follow.

In business, there is no specific legislation governing services sold from one company to another, and the Sale of Goods Act does not generally apply to the sale of services. In the sale of services, it is the agreement between the buyer and the seller that applies.

Employment may be terminated for reasons related to the employee’s person or for financial and production-related reasons related to the company’s operations. Each situation is unique. We also assist in matters related to employment termination agreements. An employment termination agreement is voluntary. As there are no specific provisions in legislation concerning termination agreements, the terms of termination of employment can be agreed upon quite flexibly. Non-competition agreements

A non-competition agreement, or NCA, is an agreement that, after the termination of employment, restricts both the employee’s right to enter into a new employment contract with a competing employer and the employee’s right to engage in competing activities on their own behalf. A non-competition agreement may be agreed upon for particularly weighty reasons and only if a competitive situation exists.

An employer or employer’s representative may be guilty of a occupational safety offense if they intentionally or negligently violate occupational safety regulations or otherwise endanger the safety or health of employees in the workplace.
